Business Law and Outside General Counsel for Virginia, D.C., and Pennsylvania Companies
Warr Legal advises businesses, entrepreneurs, executives, and organizations on formation, contracts, governance, investigations, and legal risk. The firm is designed to provide senior-level judgment without requiring every client to hire a full-time in-house lawyer.
Robert Warr’s background includes advising senior leaders and organizations on complex legal, operational, employment, investigative, and risk-management matters, together with private-practice experience representing financial institutions and an LL.M. focused on real estate development and finance.
Entity Formation and Governance
The firm assists with LLC, corporation, and nonprofit formation; operating agreements and bylaws; ownership and governance questions; and the legal documents needed to establish a workable business structure.
Because Warr Legal also works with lenders and creditors, formation advice can account for the documentation, authority, collateral, and governance questions that often surface later when a company seeks financing.
Outside and Fractional General Counsel
For companies that need recurring legal judgment but not another full-time employee, Warr Legal can serve as outside or fractional general counsel. Support may include contract review, executive counseling, risk assessment, coordination with specialized outside counsel, governance matters, and management of discrete legal projects.
The scope can be tailored to a recurring monthly relationship or discrete matters as needs arise. Learn more about Fractional General Counsel services.
Contracts and Commercial Matters
Warr Legal reviews and negotiates commercial agreements with an emphasis on identifying the provisions that materially affect the business: payment, scope, performance, termination, indemnity, insurance, dispute resolution, confidentiality, and risk allocation.
Buying a Franchise: Franchisee Representation
A franchise can be a faster path to owning a business, but the franchise agreement is a long-term contract written by the franchisor. Warr Legal represents prospective and current franchisees. Before you sign, the firm reviews the Franchise Disclosure Document (FDD) and the franchise agreement with you, explains in plain English what you are committing to, and identifies the questions to put to the franchisor.
A franchise review typically covers:
- Total cost: initial fees, royalties, advertising contributions, and the estimated initial investment, including what those estimates leave out.
- Control and territory: required suppliers, operating standards, whether your territory is protected, and whether the franchisor can change the operations manual after you sign.
- Getting out: the term, renewal rights, transfer, termination, post-term restrictions, and how disputes must be resolved.
- Earnings claims: whether any financial performance figures appear in Item 19 of the FDD, and what those figures actually measure.
- Track record: litigation and bankruptcy history, outlet openings, closures, and transfers, and the franchisor’s audited financial statements.
Virginia Franchise Protections
Virginia’s Retail Franchising Act adds protections beyond the Federal Trade Commission’s Franchise Rule, including franchise registration with the State Corporation Commission, limits on cancelling a franchise without reasonable cause, and, in certain circumstances, the right to void a franchise. Some of those rights must be exercised within days of signing or of discovering a problem, so it pays to understand them before you commit.
Timing Matters
Federal law requires a franchisor to give you its FDD at least 14 calendar days before you sign a binding agreement or pay any money. That window is the best time for a legal review. Contact Warr Legal as soon as you receive an FDD, and before you sign anything or make any payment.
Internal Investigations and Sensitive Matters
The firm can assist organizations with internal investigations, misconduct allegations, document review, witness preparation, and legal-risk assessment. Robert Warr’s military and federal legal experience included advising senior leaders on investigations and sensitive organizational matters where legal, operational, and reputational considerations intersected.
Compliance and Risk Management
Warr Legal helps clients identify legal risks, improve policies and processes, and decide which issues require immediate action, specialized counsel, or longer-term controls. The focus is on practical recommendations that business leaders can implement.
Business Transactions and Growth
The firm’s lender and real-estate background can also support business acquisitions and growth transactions, including letters of intent, due diligence, purchase agreements, financing-related issues, and transaction coordination.
